Terms of Service

1. Agreement to Terms

By engaging Kindred Web Studio ("we," "us," or "our") for web design, development, or related services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all services provided by Kindred Web Studio, including but not limited to website design, Webflow development, SEO optimization, and conversion copywriting.

2. Services

2.1 Scope of Work

All projects will be defined by a written proposal or statement of work ("SOW") that outlines the specific deliverables, timeline, and pricing. Any work outside the agreed scope will require a separate agreement and may incur additional fees.

2.2 Client Responsibilities

To ensure successful project completion, you agree to:

• Provide all necessary content, images, logos, and brand assets in a timely manner
• Provide feedback within the agreed timeframes
• Designate a single point of contact for project communications
• Obtain necessary rights and permissions for all materials provided to us

2.3 Project Timeline

Project timelines are estimates based on the information provided. Delays caused by late content delivery, feedback delays, or scope changes may extend the timeline. We will communicate any anticipated delays promptly.

3. Payment Terms

3.1 Fees and Invoicing

Fees for services will be outlined in the project proposal. Unless otherwise agreed:

• A 50% deposit is required before work begins
• The remaining 50% is due upon project completion, before final files are delivered
• Monthly retainer fees are due at the beginning of each month

3.2 Late Payments

Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month. We reserve the right to pause work on any project with outstanding invoices.

3.3 Refunds

Deposits are non-refundable once work has commenced. If you cancel a project mid-way, you will be invoiced for all work completed to date.

4. Intellectual Property

4.1 Client Materials

You retain all rights to content, images, and materials you provide to us. You represent that you have the legal right to use all materials provided.

4.2 Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. This includes the completed website design and any custom graphics created for your site.

4.3 Our Rights

We retain the right to:

• Display the completed work in our portfolio and marketing materials
• Use any tools, techniques, or code libraries we developed prior to or during your project for other clients
• Include a small credit link in the website footer (which can be removed upon request)

5. Revisions and Approvals

Our standard project includes a defined number of revision rounds as specified in your proposal. Additional revisions beyond the agreed scope will be billed at our hourly rate.

Your written approval (via email) at each project milestone constitutes acceptance of the work completed to that point. Changes to approved work may incur additional fees.

6. Third-Party Services

Your project may involve third-party services such as:

• Webflow hosting and CMS
• Domain registration
• Stock photography or fonts
• Analytics and marketing tools

These services are subject to their own terms and conditions. We are not responsible for any changes, outages, or issues with third-party services. Any fees for third-party services are your responsibility unless otherwise agreed.

7. Limitation of Liability

To the maximum extent permitted by law, Kindred Web Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee:

• Specific search engine rankings or traffic results
• Specific conversion rates or sales outcomes
• Uninterrupted or error-free website operation

All services are provided "as is" without any other warranties, express or implied.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This includes business strategies, pricing, client lists, and any information marked as confidential.

This obligation does not apply to information that is publicly available or independently developed.

10. Termination

Either party may terminate this agreement with 14 days written notice. Upon termination:

• You will pay for all work completed to date
• We will deliver all completed work and project files
• Any outstanding invoices become immediately due

We reserve the right to terminate immediately if payment is more than 30 days overdue.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. For ongoing projects, the terms in effect at the time of contract signing will apply.
